Abstract
The paper discusses the question of the role of managing bodies (board of directors and supervisory board) in strengthening the competitive advantage of companies. In addition to the previously established features of the board as the “value creator”, they should have additional properties such as possessing communicative skills and the ability to achieve the maximum effect from the interaction of their members. Their participation in formulating the strategy of the company can also be seen in the function of strengthening the competitive advantage of companies. The aim of the paper is to determine whether and how it is possible for the board of directors in the one-tiered model or the supervisory board in the two-tiered model of corporate governance to be the source of the competitive advantage for the company with the emphasis on the following: responsibility for establishing a strategy of the company that takes care of the must-have strategic dimensions of the boards and the knowledge and skills of certain board members who, with all their capacities and along with open relationship with each other, could contribute using the synergy effect.
